Jeffrey Johnstone

Jeffrey D. Johnstone is a corporate attorney with particular expertise in the areas of corporate finance, venture capital and fund formation, mergers and acquisitions, securities and corporate and commercial law.  Jeffrey has acted for a wide range of early stage and mature technology and traditional economy companies.  His experience includes acting for issuers, investors and underwriters in corporate finance transactions, including private placements, public offerings, private equity and venture capital financings.   Jeffrey also has tremendous depth of experience in mergers and acquisitions and has frequently been retained by a Fortune 100 company engaged in strategic acquisitions and divestitures.

Representative Work:

• Acted for the limited partners to the general partner in structuring of $100 million private investment fund focused on “brownfield” assets and development.
• Acted for the general partner in structuring of multi-million dollar private investment fund focused on emerging technology companies.
• Acted for a biomedical fund and an emerging technology fund in numerous multi-million dollar Series-B and Series-C rounds of financing.
• Acted for TSX-listed REIT in $100 million private placement offering of unsecured debentures.
• Acted for mining company migrating from Idaho to the Cayman Islands for its initial public offering and listing on the TSXV.
• Acted for NASDAQ-listed software development company in public-private US$30 million stock and cash acquisition.
• Acted for pharmaceutical manufacturer in divestiture of renal care division in $20 million cash sale.
• Acted for heavy machinery manufacturer in cross-border $40 million cash acquisition.
• Acted for NYSE-listed Fortune 100 company in numerous all cash acquisitions of private company targets related to its growth strategy.

Prior to joining Broadhurst LLC, Jeffrey practiced at one of Toronto's "Seven Sister" firms following which he co-founded a thriving corporate finance boutique before relocating to the Cayman Islands.  Jeffrey has served on various community and charitable organizations in the past, including serving as a member of the Corporate Committee to the Art Gallery of Ontario.  Jeffrey holds his B.A. (Victoria College at the University of Toronto, 1994), M.A. (University of Guelph, 1996) and LL.B (University of Windsor, 1999).  Jeffrey is called as a Barrister and Solicitor in Ontario, Canada and as an Attorney-at-Law in the Cayman Islands.
